NEW CONSTITUTION
OLD RIPONIANS’ ASSOCIATION
CONSTITUTION AND RULES
1. TITLE
The name of the Association shall beThe Old Riponians Association
(herein called the Association).
2. OBJECTS
The objects of the Association shall be
(a) to promote the interests of the school
(b) to provide a link between the members of the Association and the school
(c) to provide social contact between members of the Association.
The powers of the Association shall be as laid down in this document.
3. CENTRE
The centre of the Association for the purpose of organisation and the control and direction of its affairs shall be in the city of
4. MEMBERSHIP
All former students of the school and former members of the staff employed directly by
The Headmaster and all present permanent members of staff employed by RGS and the Governors of the school shall be Honorary Members of the Association. On leaving or retiring from their position are eligible to become ordinary members.
Where members of staff have given service to the Association the committee has the right to award free Life Membership as an ordinary member.
Honorary members shall be entitled to all the privileges of the Association, but shall not pay a subscription nor be entitled to vote at a general meeting or claim any share of the property of the Association in the event of its dissolution.
Any ordinary member shall, upon ceasing to be a member of the Association, forfeit all right to and claim upon the Association, its property and funds.
5. APPLICATION FOR MEMBERSHIP
Applications for membership of the Association shall be made in writing to the Honorary Secretary or Honorary Treasurer of the Association
6. SUBSCRIPTIONS
The subscriptions of members will be determined by the category of membership.
In each case the amount can be changed or reviewed at the A.G. M. by resolution of the members. Currently the rates are:
(a) Life members; £50
(b) Members for 10 years; £40 At the end of 10 years a member may become a life
member on further payment of £20 A member who does not make this payment shall
be suspended from membership unless he/she continues as an annual member.
(c) Annual Members; £10 Annual subscriptions shall be due on the first day of October. The committee shall have the power to suspend any member who has not paid the subscription.
7. FINANCIAL YEAR
The financial year of the Association shall be from the first day of October to the last day of September.
8. REGISTER OF MEMBERS
The Honorary Secretary shall keep a register of the names and addresses of members of the Association. All members shall inform the Honorary Secretary of any change of address.
All notices posted to members at the address recorded in the register will be considered to be duly served three days after posting.
9. OFFICERS
The officers of the Association shall be an Honorary President, Honorary Secretary and Honorary Treasurer.
10. HONORARY VICE PRESIDENTS
On the recommendation of the committee, Honorary Vice Presidents may be elected at any General Meeting, and shall have the privileges of Honorary members.
Election to this office shall be an honour reserved solely for people who have made an outstanding contribution towards the interests of the Association.
11. COMMITTEE
(a) The committee shall consist of the officers of the Association, the Headmaster, one Deputy Head teacher, together with six members elected by the Association at the A.G.M. All these members shall be eligible to vote on committee matters and at general meetings.
(b) Each year two of the elected members of the committee including officers shall retire in rotation. Such retiring members shall be eligible for re-election.
(d) The committee shall have the power to co-opt additional members; persons co-opted shall be non-voting members.
12. ELECTIONS
(a) Nominations for Officers and Committee members shall be made at the Annual General Meeting.
(b) Wherever there is more than one nomination for a particular office, an election shall be held.
(c) Members elected as Officers or committee members shall be ordinary or honorary members of the association.
(d) The election of all Officers and Committee members shall take place annually before 31st December and those elected shall take office from the following 1st January.
13. ACCOUNTS
The Honorary Treasurer shall keep proper accounts of the funds of the Association and of all dealings therewith, and shall prepare a Balance Sheet and Statement of Accounts at the end of each financial year.
4 MEETINGS OF THE ASSOCIATION
(a) There shall be an A.G.M. of members at least once a year on a date to be fixed by the committee.
(b) At the A.G.M the Balance Sheet and Statement of Accounts shall be presented for adoption ,and an annual report shall be given. This should be held on a date fixed by the committee.
(c) The committee may at any time and for any special purpose, call a Special General Meeting and in addition they shall do so forthwith upon a requisition in writing from eight voting members stating the purpose for which the meeting is required.
(d) The Balance Sheet shall be audited by an Auditor appointed at the General Meeting. The Auditor shall not be an Officer of the Association nor a member of the committee, but may be a member of the association.
(e) A list of members attending meetings of the Association and Minutes of all meetings shall be held by the Secretary.
(f) At all general meetings a quorum shall be at least eight voting members.
(g) Rules for Meetings of the Association;
1.Every resolution must be signed by a proposer and a seconder and must reach the
Secretary not less than ten days before the meeting.
2. The President of the Association shall have power to add additional business to
the agenda and to determine its place thereon.
3. No resolutions may be presented without due notice as in paragraph (g)1 except with
the permission of two-thirds of the members present.
(h) At least fourteen days notice of any General Meeting shall be given to all members.
15 COMMITTEE MEETINGS OF THE ASSOCIATION
(a) Committee meetings shall be convened by either the President or Secretary. Seven
days notice of meetings must be given to every member of the committee. Emergency
meetings may be called by the Secretary at the request of any three members of the
committee.The objects of such a meeting must be stated,and the business confined to
the objects so stated. Minutes of all Committee meetings shall be held by the
Secretary.
(b) Questions arising at the Committee meetings shall be decided by a majority of votes, the President having a casting vote.
(c) The quorum for all Committee meetings shall be four members, all of whom are entitled
to vote.
16 THE TRUSTEES
The Real property of the Association shall be vested in the trustees of the association. The trustees shall consist of a Chair person and at least three other members of the association who are not Officers of the Association. They can be removed from office by resolution of the committee and or by members at an A.G.M..
Any such person has a right of appeal to the aforementioned. Trustees can give a written notice of resignation at any time.
New trustees will be appointed by the Chair or retiring Chair person of the trustees by the execution of a deed of trust signed by the Chair of the trustees and one or more other trustee. The Chair person may appoint new trustees as and when required due to circumstances when a trustee can no longer act and carry out the duties of a trustee, and when the numbers of trustees is less than four.
The trustees shall be responsible for dealing with the property of the association and they shall be indemnified against risk and expense of all actions they undertake on behalf of the Association.
17 THE NEWSLETTER
Ordinary members shall receive copies of RGS News annually at such times as shall be decided by the committee.
18 ALTERATIONS TO THE CONSTITUTION AND RULES OF THE ASSOCIATION
Alterations shall be made only by resolution of any Annual or Special General Meeting of the Association. Twenty-one days notice of any alterations shall be given to the Honorary Secretary and such resolution must be passed by at least two-thirds of the members present and voting at the meeting.
19 ACCEPTANCE OF RULES
Every member shall be bound by and subject to the rules of the Association for the time being in force.
This Constitution supersedes all previous ones, and was adopted at the A.G.M. on 19th December 2009
